1. Agreement to Terms

By accessing and using the CallDevs website (calldevs.com) and our services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not access or use our services.

2. Services

CallDevs provides web development, design, and consulting services as described on our website. Specific services, deliverables, timelines, and pricing for individual projects are defined in separate project agreements or proposals agreed upon by both parties before work begins.

3. Project Agreements

All development projects are governed by individual project agreements that outline the scope of work, timeline, pricing, payment terms, and deliverables. These project agreements form part of these Terms of Service. In case of conflict between these Terms and a project agreement, the project agreement takes precedence.

4. Payment Terms

Payment terms are specified in individual project agreements. Unless otherwise stated, a deposit is required before work begins, and remaining payments are tied to project milestones. Late payments may result in work suspension until balances are settled. All fees are non-refundable once work on a milestone has begun, unless otherwise specified in the project agreement.

5. Intellectual Property

Client Work: Upon full payment, all custom code, designs, and deliverables created specifically for your project become your property. You receive full ownership and rights to use, modify, and distribute the work.

Pre-existing Materials: Any pre-existing code libraries, frameworks, tools, or components that we use in your project remain our property or the property of their respective owners. We grant you a perpetual, non-exclusive license to use these materials as part of your project.

Portfolio Rights: Unless otherwise agreed in writing, we retain the right to display your project in our portfolio and use it for marketing purposes, without revealing confidential business information.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This obligation survives the termination of the business relationship. Confidential information does not include information that is publicly available, independently developed, or rightfully obtained from third parties.

7. Warranties and Limitations

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. We provide a 30-day warranty period after project delivery during which we will fix any bugs or defects in our work at no additional cost.

To the maximum extent permitted by law, CallDevs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to our services. Our total liability shall not exceed the total fees paid by you for the specific project in question.

8. Termination

Either party may terminate a project agreement with 14 days written notice. Upon termination, you are responsible for payment for all work completed up to the termination date. We will deliver all completed work and materials upon receipt of final payment.

9. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, or internet infrastructure failures.

10. Website Use

You agree not to use our website for any unlawful purpose, attempt to gain unauthorized access to our systems, interfere with the proper functioning of the website, or use automated systems to access the website without our express permission.

11. Governing Law

These Terms of Service shall be governed by and construed in accordance with applicable laws. Any disputes arising from these terms shall be resolved through good-faith negotiation, and if necessary, binding arbitration.

12. Changes to Terms

We reserve the right to update these Terms of Service at any time. Material changes will be communicated through our website. Your continued use of our services after changes are posted constitutes acceptance of the updated terms.
